Die (partielle) Steuerrechtssubjektivität der Personenhandelsgesellschaften und der mitunternehmerischen Innengesellschaften (namentlich der sogenannten atypisch stillen Gesellschaft) erfreut sich inzwischen gleichermaßen weitgehender Anerkennung - trotz der strukturellen Unterschiede zwischen Innen- und Außengesellschaften. Bemerkenswerterweise verlief die dogmatische Entwicklung lange gegenläufig: Nach Aufgabe der Bilanzbündeltheorie durch den BFH setzte sich die Einheitsbetrachtung zunächst nur im Hinblick auf die Personenhandelsgesellschaften durch. Eine partielle Steuerrechtssubjektivität der mitunternehmerischen stillen Gesellschaft wurde demgegenüber unter Hinweis auf die zivilrechtlichen Unterschiede abgelehnt, kann doch die stille Gesellschaft als Innengesellschaft weder selbst Rechtsbeziehungen eingehen noch verfügt sie über ein Gesellschaftsvermögen. Die inzwischen vollzogene Änderung der steuerrechtlichen Rechtsprechung unter Anerkennung der mitunternehmerischen stillen Gesellschaft als Subjekt der Gewinnerzielung, Gewinnermittlung und der Einkünftequalifikation mußte deshalb mit einem Austausch des Begründungsansatzes einhergehen. Die Einordnung mitunternehmerischer Innengesellschaften wird so zum Prüfstein für das ertragsteuerliche System der unternehmenstragenden Personengesellschaften.In der vorliegenden Arbeit weist Tobias Kuck Widersprüche der Einheitsbetrachtung nach und stellt ihr ein einheitliches dogmatisches Konzept gegenüber. Dieses trennt die einkommensteuerrechtliche Zuordnung von Einkünften und ihre Qualifikation von der zivilrechtlichen Frage der (Teil-)Rechtsfähigkeit der Personengesellschaft. Aufgrund der Anknüpfung an die Tätigkeit der Gesellschafter im Sinne einer gemeinschaftlichen Erfüllung des Einkünftetatbestandes bedarf es keiner ertragsteuerrechtlichen Verselbständigung der Personengesellschaft und wird zudem eine gesonderte Zurechnung von Einkünften verzichtbar.
